This document sets out the binding terms for Drivers and Passengers using the RideUz platform. Please read it in full before using the app — especially Section 2.3 on taxes.
General Provisions
These Terms of Use ("Terms") govern access to and use of the RideUz mobile application and related services (the "Platform"), to be operated by [Legal Entity Name — registration pending] ("RideUz," "the Company," "we," "us," or "our"), a company to be established under the laws of the Republic of Uzbekistan. By creating an account, installing the application, or otherwise using the Platform, you ("User") confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Platform.
These Terms apply to two categories of Users: "Drivers," who offer transportation or delivery services through the Platform, and "Passengers," who request such services. Part One applies to all Users; Part Two applies additionally to Drivers; Part Three applies additionally to Passengers.
"Platform" or "App" means the RideUz software application, website, and related technology, including any updates. "Services" means the matching, booking, navigation, communication, and payment-facilitation functionality made available through the Platform. "Driver" means a natural person who registers on the Platform to offer transportation and/or delivery services to Passengers using a vehicle they own, lease, or are otherwise legally entitled to operate. "Passenger" means a natural person who registers on the Platform to request transportation and/or delivery services from Drivers. "Trip" means a single instance of transportation or delivery arranged through the Platform between a Driver and a Passenger. "Fare" means the amount payable by a Passenger for a Trip, as calculated and displayed by the Platform.
RideUz provides a technology platform that helps independent Drivers and Passengers find each other and arrange, complete, and pay for Trips. RideUz is not a transportation, courier, or delivery company. RideUz does not own, lease, or operate any vehicle used in providing Services, does not employ any Driver, and does not itself transport any person or item. RideUz's sole role is to operate the technology that connects Drivers and Passengers; the actual transportation or delivery service is provided directly by the Driver to the Passenger under a separate arrangement between them.
Nothing in these Terms creates an employment, agency, franchise, partnership, or joint-venture relationship between RideUz and any Driver or Passenger.
To use the Platform, you must be at least 18 years old and have the legal capacity to enter into binding contracts under the laws of the Republic of Uzbekistan. You must register using accurate, current, and complete information, maintain a single personal account, and keep your login credentials confidential. Drivers must additionally complete identity, license, and vehicle verification as required by the Platform before accepting Trips. RideUz may refuse, suspend, or revoke registration where information provided is false, incomplete, or cannot be verified.
The Platform may facilitate payment of Fares and fees through cash, bank card, mobile wallet, or other payment methods made available in the App, in some cases through licensed third-party payment processors. RideUz is not a bank or financial institution and does not hold funds as a deposit. Any service fee or commission charged by RideUz is disclosed within the App prior to or at the time it is charged.
Users must not: provide false identity, vehicle, or payment information; create multiple or fraudulent accounts; use the Platform for any unlawful purpose, including the transport of prohibited, hazardous, or illegal goods; harass, threaten, discriminate against, or endanger any other User; interfere with the Platform's operation, security, or data (including by scraping, reverse engineering, or manipulating GPS data); or offer or solicit transportation/delivery services outside the Platform in circumvention of applicable fees. RideUz may investigate suspected violations and take appropriate action, including suspension or termination of the User's account.
RideUz encourages all Users to act safely and lawfully, provides in-app safety features (such as trip sharing, driver/passenger identity display, and an emergency assistance function), and conducts reasonable verification of Drivers at registration. However, because RideUz does not control the conduct of independent Drivers or Passengers, does not supervise Trips in person, and is not present at the time or place of any Trip, RideUz cannot guarantee the safety, legality, or conduct of any User. Users interact with each other and arrange Trips at their own risk and are strongly encouraged to take reasonable personal safety precautions and to use available in-app safety tools.
To the maximum extent permitted by applicable law, the Platform and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. RideUz does not warrant that the Platform will be free of defects, that any Driver or Passenger will perform as expected, or that any Trip will be completed safely, on time, or at all.
To the maximum extent permitted by applicable law, RideUz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or personal or vehicle injury or damage, arising out of or related to (a) any Trip, act, omission, or conduct of a Driver or Passenger, including road accidents, personal injury, property damage, theft, or criminal acts; (b) a Driver's or Passenger's failure to comply with tax, licensing, insurance, or other legal obligations; or (c) use of or inability to use the Platform. Where liability cannot be excluded under applicable law, RideUz's aggregate liability shall be limited to the amount of service fees actually received by RideUz from the User in the three (3) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless RideUz, its officers, employees, and affiliates from any claim, liability, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law or third-party right, or your use of the Platform, including, for Drivers, any failure to meet the tax or regulatory obligations described in Section 2.3.
The Platform, including its software, design, trademarks, logos, and content, is owned by RideUz or its licensors and is protected by applicable intellectual property laws. RideUz grants Users a limited, non-exclusive, non-transferable, revocable license to use the App for its intended personal purpose. Users may not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform except as permitted by law.
RideUz processes personal data in accordance with its Privacy Policy and applicable legislation of the Republic of Uzbekistan on personal data protection. By using the Platform, you consent to such processing, including the sharing of necessary information (such as name, photo, location, and contact details) between a matched Driver and Passenger for the purpose of completing a Trip.
RideUz may suspend or terminate a User's account, immediately and without prior notice in cases of serious or repeated violation of these Terms, safety risk, fraud, or as required by law, and otherwise with reasonable notice. Users may stop using the Platform and request deletion of their account at any time through the App or by contacting support, subject to any retention required by law.
These Terms are governed by the laws of the Republic of Uzbekistan. The parties will attempt in good faith to resolve any dispute through negotiation. If a dispute cannot be resolved within thirty (30) days, it shall be submitted to the competent courts of the Republic of Uzbekistan at the location of RideUz's registered office in Tashkent.
RideUz may amend these Terms from time to time to reflect changes in the Services or applicable law. Material changes will be notified through the App or by other reasonable means, and continued use of the Platform after such notice constitutes acceptance of the amended Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between the User and RideUz regarding use of the Platform. RideUz's failure to enforce any provision shall not constitute a waiver of that provision. Users may not assign their rights under these Terms without RideUz's prior written consent.
These Terms are made available in Uzbek, Russian, and English. In the event of any discrepancy or conflict between language versions, the Uzbek-language version shall prevail for legal and regulatory purposes within the Republic of Uzbekistan.

Additional Terms for Drivers
Drivers provide transportation and/or delivery services as independent, self-employed service providers operating their own business, and not as employees, workers, agents, partners, or representatives of RideUz. Drivers determine, at their sole discretion, when and whether to be available on the Platform, which Trip requests to accept or decline, and the routes used to complete a Trip, subject to applicable traffic and safety laws. Drivers are free to offer services through other platforms or by other means. Nothing in these Terms shall be construed to establish an employment relationship, and Drivers are not entitled to any employee benefits from RideUz.
Drivers must hold a valid driving license appropriate to the category of vehicle used, valid vehicle registration, and any permits, insurance, or authorizations required by the laws of the Republic of Uzbekistan for the transportation or delivery services provided. The vehicle used must be roadworthy, appropriately insured, and maintained in safe operating condition. Drivers must upload accurate copies of required documents to the Platform, keep them current, and promptly notify RideUz of any change in their status, including suspension of a license, lapse of insurance, involvement in an accident, or loss of any required permit. RideUz may suspend a Driver's access to the Platform where required documentation is missing, expired, or found to be invalid.
RideUz does not pay, withhold, calculate, declare, or act as a tax agent in respect of any tax, duty, social security contribution, or other statutory payment owed by a Driver. Each Driver is solely and fully responsible for determining their applicable tax and legal status (including, where required by law, registering as an individual entrepreneur, self-employed person, or other status recognized under the legislation of the Republic of Uzbekistan), and for independently calculating, declaring, reporting, and paying, on time and in full, any and all income tax, social contributions, and other mandatory payments arising from income earned through use of the Platform.
RideUz's role is limited to providing a technology platform that helps Drivers and Passengers find each other; it is not the Driver's employer, tax agent, or accountant, and it assumes no responsibility or liability for a Driver's compliance, or non-compliance, with any tax or other legal or regulatory obligation. Drivers agree to indemnify RideUz against any claim, penalty, fine, or loss arising from a Driver's failure to meet such obligations, and acknowledge that RideUz may be required to share Driver earnings information with competent tax authorities of the Republic of Uzbekistan where required by law.
Commission is, in the current version of the Platform, a fee applied mainly to parcel-delivery services and calculated as a percentage of the Trip fare. RideUz will not charge Drivers any commission for use of the Platform until 31 December 2028, 23:59:59 (Uzbekistan Standard Time, UTC+5). After that date, RideUz may begin charging Drivers a commission, in a manner disclosed in the App in advance. Any such future commission will be stated exclusive of any tax owed by the Driver on their own income, which remains solely the Driver's responsibility as described in Section 2.3. This clause does not apply to the Service Fee described in Section 2.5.
The Service Fee is a fixed, recurring payment for the right to use the Platform (the App), regardless of the type of Trip, and — unlike commission — does not depend on the value of any particular Trip. In addition to the commission-free period described in Section 2.4, a fixed service fee of 20,000 (twenty thousand) Uzbekistani som applies to each Driver, charged once per calendar month, starting six (6) months after that Driver's individual registration date and time on the Platform. The service fee may be paid through the Click, Payme, or Uzum Bank mobile applications, or any other payment method later made available in the App. The service fee is stated exclusive of any tax owed by the Driver on their own income, which remains solely the Driver's responsibility as described in Section 2.3.
Drivers must operate their vehicle safely and in compliance with all applicable traffic and road-safety laws; must not operate a vehicle while under the influence of alcohol or drugs; must not discriminate against Passengers on any unlawful ground; must treat Passengers, their property, and other road users with respect; and must maintain their vehicle in a clean and safe condition. Serious or repeated violations may result in suspension or termination of the Driver's account under Section 1.13.
Additional Terms for Passengers
Passengers may request a Trip through the App by providing accurate pick-up and drop-off information. Passengers must be present, ready, and reasonably accessible at the agreed pick-up location within the time indicated by the Platform. RideUz displays estimated arrival times and Fares for reference; actual conditions such as traffic, route, or waiting time may cause variation.
Passengers agree to pay the Fare and any applicable fees shown in the App at or before completion of the Trip, using an available payment method. Fares are calculated by the Platform based on factors such as distance, time, and demand, and are displayed to the Passenger prior to confirming a Trip. Any dispute over a specific charge should be raised through the App's support channel within a reasonable time.
Passengers may cancel a requested Trip through the App. A cancellation fee may apply where a Trip is cancelled after a Driver has already been assigned and has begun traveling to the pick-up location, or where a Passenger fails to appear at the pick-up location within a reasonable waiting time, as disclosed in the App.
Passengers must not carry prohibited, hazardous, or illegal items; must not damage, soil, or misuse a Driver's vehicle; must treat Drivers with respect and without harassment or discrimination; and must follow reasonable safety instructions given by the Driver. Passengers who cause damage to a vehicle may be charged a reasonable cleaning or repair fee through the Platform. Serious or repeated violations may result in suspension or termination of the Passenger's account under Section 1.13.
